Beta Terms of Service

Welcome to the Zephr.xyz SDK ("SDK"). These Terms of Service ("Terms") govern your use of the SDK, software libraries, and related services made available by Zephr.xyz Inc. ("Zephr," "we," or "our") during the beta program. By clicking "I Agree," downloading, installing, or using the SDK, you agree to these Terms.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Purpose and Beta Nature of the SDK

The Zephr.xyz SDK is provided for testing, evaluation, and integration purposes only. This is a beta service, and its functionality, accuracy, and availability may change without notice. Zephr makes the SDK available as a pre-release product intended for developer experimentation and feedback.

2. Description of the Service

The SDK provides a virtualized GPS/GNSS positioning engine for Android devices that uses:

  • Raw GNSS measurements from a device's built-in receiver; and
  • Correction data from public and third-party sources, including but not limited to NOAA's GloTEC, IGS ephemeris, and other publicly available correction services.

The SDK operates on a client–server model. The Zephr server provides real-time corrections that the client applies locally on the user's device.

Importantly:

  • Zephr's servers do not compute or store a user's position.
  • The client SDK performs the positioning computation entirely on the user's device.
  • Zephr does not collect or aggregate user location data.

3. Public Data and Service Availability

The SDK relies on publicly available correction data from external providers. Zephr does not control or guarantee the availability, quality, timeliness, or accuracy of these public data sources.

Accordingly:

  • The SDK is provided on a best-effort basis.
  • Zephr makes no guarantees that corrections or services will be available at any particular time.
  • Outages or changes to public data sources may cause degraded accuracy or service interruptions.
  • Zephr is not liable for errors or interruptions arising from unavailable or inaccurate public data.

4. License Grant

Subject to these Terms, Zephr grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Use the SDK solely for internal evaluation and testing purposes; and
  • Integrate the SDK into your Android applications for non-commercial beta testing.

You may not:

  • Reverse-engineer, decompile, or modify the SDK;
  • Redistribute, sublicense, or resell the SDK;
  • Use the SDK in any production or mission-critical environment.

5. Feedback and Improvements

We welcome feedback to improve the SDK. By submitting feedback, suggestions, or bug reports ("Feedback"), you grant Zephr a worldwide, royalty-free, irrevocable license to use that Feedback for improving the SDK and related products.

6. Privacy and Data Handling

Zephr designs its services to protect user privacy.

  • The SDK performs positioning computations locally on the user's device.
  • Zephr does not collect, store, or share end-user location data.
  • The SDK may transmit limited, non-identifying diagnostic data necessary for performance and quality monitoring.
  • Developers integrating the SDK into their apps remain responsible for their own compliance with applicable privacy laws and app store policies.

7. Disclaimers

The SDK is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law:

  • Zephr disclaims all warranties, express or implied, including but not limited to warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.
  • Zephr does not warrant that the SDK or correction data will meet your requirements or operate without interruption, error, or data loss.
  • This SDK is not intended for use in navigation, aviation, emergency response, or any safety-critical applications where positioning errors could cause harm.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Zephr's total liability for any claim related to your use of the SDK will not exceed $100 (USD).
  • Zephr is not liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of data, revenue, or use, even if Zephr has been advised of the possibility of such damages.

9. Termination

Zephr may suspend or terminate your access to the SDK at any time, for any reason or no reason, without notice. Upon termination, you must stop using and destroy all copies of the SDK.

10. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Boulder County, Colorado, and you consent to the personal jurisdiction of such courts.

11. Updates

Zephr may update these Terms or the SDK from time to time. Continued use of the SDK after such updates constitutes your acceptance of the revised Terms.
